Terms of Use and Membership

These terms govern your use of thecapitalalliancenetwork.com and, if you become a member, your membership in The Capital Alliance Network, operated by The Capital Alliance Network, LLC. By using the site, applying, or becoming a member, you agree to these terms and to our Privacy Policy.

1. What The Capital Alliance Network is, and what it is not

The Capital Alliance Network is a private membership network. Membership provides access to content, events, programming, a member platform, and a community of private markets professionals.

The Capital Alliance Network is not a registered broker-dealer, investment adviser, funding portal, or placement agent. The Capital Alliance Network does not offer, sell, recommend, or solicit any security or investment. The Capital Alliance Network does not negotiate, structure, or execute transactions, does not hold funds for anyone, and receives no compensation based on any investment or transaction between members or third parties. Membership fees are flat and never depend on any outcome.

Nothing on this site, in our content, at our events, or on our platform is investment, legal, tax, or accounting advice, or an offer to sell or a solicitation of an offer to buy any security. Do your own diligence and consult your own advisers before making any decision.

2. Eligibility and applications

You must be at least 18 and acting in a professional capacity. Membership is by application and at The Capital Alliance Network's sole discretion. You agree to give accurate information and keep it current. Approval is not an endorsement of you, your firm, or any offering. We may decline any application for any lawful reason.

3. Card on file, billing, and renewal

  • Card on file. When you place a card on file with your application, you authorize The Capital Alliance Network to charge it for the membership you selected only if your membership is approved. If you are not approved, you will not be charged and your card will be removed.
  • Fees. Your membership price and billing period are shown to you before you agree. Payments are processed by Stripe.
  • Automatic renewal. Memberships renew automatically for the same period at the then-current price until you cancel. For annual memberships we will remind you before each renewal, and we will tell you in advance of any price change.
  • Cancel anytime. You can cancel online through the billing link in your membership emails or by emailing concierge@thecapitalalliancenetwork.com. Cancellation takes effect at the end of your current billing period, and you keep access until then. Fees already paid are non-refundable except where the law requires otherwise.

4. Member conduct

As a member you agree to:

  • Act professionally and treat other members with respect.
  • Keep confidential what is shared in member settings. Information discussed at member events and on the platform may not be shared outside the network or attributed to anyone without their consent.
  • Not use The Capital Alliance Network, its events, or its platform to offer or solicit any security, to make general solicitations, or to circulate offering materials. Anything you choose to discuss privately with another member is solely your responsibility and must comply with applicable securities laws.
  • Not scrape, export, or harvest member information, send unsolicited bulk messages, or record sessions without consent.
  • Not misrepresent yourself, your firm, or your credentials, or imply that The Capital Alliance Network endorses you.

We may suspend or end a membership that breaks these terms.

5. Your content

You own what you post or submit. You give The Capital Alliance Network a limited license to host and display it within the network to operate our services. You are responsible for its accuracy and for having the right to share it. We may remove content at our discretion.

6. Alliance Partners and third parties

Alliance Partners and other third-party providers are independent. The Capital Alliance Network does not endorse or guarantee their services, and any engagement is solely between you and them. Links to third-party sites are for convenience only.

7. Events and recordings

Events may be photographed or recorded. By attending, you consent to appearing in event media. Tell us in writing if you would prefer not to be featured. Views expressed by speakers and members are their own and not The Capital Alliance Network's.

8. Site use and security

Do not attempt to access accounts or areas you are not authorized to use, probe or test the site for vulnerabilities, use bots or scrapers, interfere with the site, or bypass any security measure. If you believe you have found a security issue, please report it to concierge@thecapitalalliancenetwork.com.

9. Intellectual property

The site, our content, and the The Capital Alliance Network name and marks belong to The Capital Alliance Network. You may view and share links to our public content, but you may not copy, republish, or use it commercially without written permission.

10. Disclaimers

The site, membership, and all content are provided "as is." The Capital Alliance Network does not guarantee any introduction, opportunity, funding, investment, or result.

11. Limitation of liability

To the fullest extent the law allows, The Capital Alliance Network is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or investment losses. The Capital Alliance Network's total liability for any claim is limited to the membership fees you paid in the 12 months before the claim.

12. Indemnity

You agree to indemnify The Capital Alliance Network against claims arising from your use of the network, your content, your dealings with other members or third parties, or your breach of these terms.

13. Governing law

These terms are governed by the laws of the State of New York, and any dispute will be resolved in the state or federal courts located in New York County, New York.

14. Changes

We may update these terms. We will post changes here with a new date and notify members of material changes by email. Continued use or membership after a change means you accept it.
